Last Updated: April 16, 2026

1. Acceptance of Terms

By accessing and using the LA Web Company website (lawebcompany.com) and engaging our web design and development services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our website or services.

LA Web Company reserves the right to modify these Terms of Service at any time. Changes are effective upon posting to the website. Your continued use of our services indicates acceptance of modified terms.

2. Service Scope and Description

LA Web Company provides website design, development, SEO optimization, and related digital services as described in our service packages and proposals. Services are provided on a project basis as outlined in signed contracts and statements of work.

All service descriptions and pricing are subject to detailed proposals and written agreements. Verbal conversations do not constitute binding agreements unless confirmed in writing.

3. Payment Terms

  • Payment terms are specified in the project proposal and contract
  • Standard payment structure: 50% deposit to begin work, 50% on delivery
  • We accept credit cards, bank transfers, and PayPal
  • Late payments may result in project suspension
  • All fees are in USD unless otherwise specified
  • Refunds are not available after work has commenced unless otherwise agreed in writing

4. Project Timeline and Delivery

Delivery timelines are estimates and assume timely client feedback and content provision. Delays caused by client non-responsiveness do not extend our liability. Rush delivery and expedited services are available for additional fees.

We provide unlimited revisions during the design phase. Changes requested after project delivery may incur additional fees.

5. Intellectual Property Rights

Upon full payment, you retain ownership of custom design work and original content created for your project. We retain ownership of reusable code libraries, design systems, templates, and pre-existing intellectual property developed before engagement.

You agree not to claim ownership of our existing methodologies, tools, or frameworks. Client content and materials provided to us remain your property, but we have a non-exclusive license to use them in your project deliverables.

6. Client Responsibilities

The client agrees to:

  • Provide timely feedback and content materials
  • Grant us access to necessary accounts and hosting
  • Disclose all relevant business requirements and branding guidelines
  • Obtain necessary licenses and rights for all content provided
  • Comply with all applicable laws in content and operations
  • Maintain regular communication throughout the project

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee specific results, including rankings, traffic, or revenue. Website performance depends on multiple factors beyond our control, including client maintenance and third-party services.

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL LA WEB COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT PAID FOR THE SPECIFIC SERVICE IN QUESTION.

9. Maintenance and Support

All projects include 30 days of complimentary post-launch support for bug fixes and minor adjustments. Extended maintenance, updates, and ongoing support are available through separate retainer agreements.

Client is responsible for regular backups, security updates, and hosting management unless otherwise contracted.

10. Third-Party Services and Hosting

Websites may integrate third-party services (hosting, email, CDN, analytics, etc.). We are not responsible for downtime, data loss, or failures of third-party providers. You agree to review and accept the terms of service for all third-party platforms used.

11. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This does not prevent us from using general methodologies, case studies (with permission), or publicly discussing our relationship after project completion.

12. Termination

Either party may terminate a project with written notice. Upon termination, you remain responsible for payment of work completed. We will deliver work in progress but are not obligated to complete the project or provide refunds.

13. Prohibited Activities

You agree not to use our services to:

  • Create websites for illegal activities or content
  • Harass, threaten, or defame individuals or organizations
  • Infringe on intellectual property rights
  • Distribute malware or unauthorized access tools
  • Violate privacy laws or regulations
  • Engage in fraudulent or deceptive practices

14. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of courts in Los Angeles County, California.
